Subject: [PNWVHFS] Results of AK VHF-Up Group Constitutional Ballot 

Thanks to all the AK VHF-Up Group members that voted in the recent 
Constitution/ByLaws ballot.

We received 16 ballots all voting DD to accept the Constitution & 
ByLaws as drafted by KL7UW.  No ballots in opposition were received.

We received one suggestion.  Jerry, AF7P suggests the adoption 
of  501c3 non-profit status.  That was not presented as an 
amendment.  I will submit that at first business meeting for the 
Board of Directors.

Therefore, as acting president, I declare the Constitution & ByLaws 
adopted as presented.

Accordingly, election of Board members is now required.  Per Article 
IV, three directors will be chosen by the membership to serve 
two-year terms beginning 1 July (2007) at 12:01 am.  Since we have 
missed that date, nominations and elections of directors will be 
conducted immediately.  It infers that the initial term of directors 
will run until 12:00-midnight June 30, 2009.

Three seats are to be filled:
Director for Alaska  ... current director is Ed Cole, KL7UW
Director outside Alaska  ... current director is Paul Kiesel, K7CW
Director at Large ... current director is Robert Rowley, AL2B

Nominations are open (e-mail acceptable) for these positions at this 
time.  Nominations will be closed on 22 December 2007.  Voting for 
director will be conducted 22-31 December 2007.  New Board of 
Directors are to be installed on 1 Jan 2008.  This is in variance to 
Art. IV, Section-7, so if there is any objection please notify Ed 
Cole, KL7UW, acting president.

I will assume that the incumbents stand as nominated unless any of 
them decline.
According to Section-7 any member may nominate any member (or 
themselves) for director.  Please note that Section-1 requires that 
one director reside in Alaska, one reside outside Alaska, and one 
director be chosen from any area.  In this way membership from within 
and outside Alaska be represented.  Note that Policy 1.0 of the 
Bylaws proscribe further that if no more than one nomination is 
submitted for any directorship, that individual will be seen as 
elected without further ballot.

First item of business for the New BOD is appointment of 
officers.  At this time I invite anyone interested in serving as an 
officer to submit application to the BOD (e-mail KL7UW).  These names 
will be submitted to the New BOD after they have been installed.

I have selected these dates with the hope that the AK VHF-Up Group 
will have its first BOD meeting in advance of the Jan. 2008 ARRL VHF 
Contest so that any business decisions regarding participation in the 
January contest may be made.
It is my hope that the AVG will submit a club entry for the Jan. 2008 
ARRL VHF Contest.
